1. Acceptance of Terms
By accessing or using the Mattheus platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Mattheus provides a customer-owned multi-asset research and workflow runtime. The Service enables users to research, monitor, simulate, compose, preview, and prepare approval-first workflows through policy-gated controls. Hyperliquid, Alpaca, Uniswap, and Aave share one public-launch gate; public execution is disabled while its verdict is NO_GO. Any staging, testnet, or canary action remains explicitly allowlisted and does not represent public availability. Other incomplete or partner integrations are unavailable unless separately certified, approved, and enabled.
3. Eligibility
You must be at least 18 years of age, meet any higher age or eligibility threshold imposed by an applicable venue, broker, asset class, or jurisdiction, and not use the Service where algorithmic trading or access to the relevant financial or digital-asset market is prohibited. By using the Service, you represent and warrant that you meet these requirements.
4. User Accounts
You are responsible for maintaining the security of your account credentials, API keys, wallets, venue permissions, protocol approvals, and any connected accounts used with the Service. You are solely responsible for all activity that occurs under your account. Mattheus is not liable for any loss resulting from unauthorized access to your account.
5. Approval-First Execution
Mattheus may prepare certified actions for an explicitly allowlisted environment, but live execution requires the applicable user approval path and policy checks. Policies and platform limits may block execution. Execution may fail or settle differently than expected because of API, liquidity, market, signer, venue, broker, chain, protocol, or policy issues. Some submitted actions may be irreversible or only mitigated through later cancel, reduce-only, close, repay, withdraw, or revoke steps.
6. Trading and Financial Risk
Algorithmic trading involves substantial risk of loss. Past performance of any algorithm is not indicative of future results. You acknowledge that you may lose some or all of your capital. Please review our Risk Disclosure before using the Service.
7. AI Outputs and User Review
AI-generated research, strategy suggestions, code, summaries, risk descriptions, and execution previews may be incomplete, delayed, inaccurate, stale, or inappropriate for your account. AI outputs are not financial advice and do not promise performance. You must review all action details before approval. See the AI Disclosure for more information.
8. Prohibited Uses
You may not use the Service to:
- Violate any applicable law or regulation
- Engage in market manipulation or spoofing
- Circumvent venue-level rate limits or terms of service
- Reverse-engineer, decompile, or disassemble any part of the platform
- Resell or sublicense access to the Service without written authorization
9. Fees and Billing
Invited staging access is free during the private beta and does not collect a subscription payment. Any separately offered paid plan charges subscription fees in advance on a monthly or annual basis. All paid fees are non-refundable except as required by applicable law. We reserve the right to modify paid-plan pricing with 30 days' written notice.
10. Intellectual Property
The Mattheus platform, SDK, and all associated intellectual property are owned by Mattheus and its licensors. Your algorithm code remains your property. You grant Mattheus a limited license to process your code only as needed to provide the Service on your configured customer-owned runner or an explicitly selected Mattheus service. Mattheus does not receive arbitrary SSH or shell authority over your runner.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATTHEUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE.
12. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting support. Upon termination, all licenses granted to you will immediately cease.
13. Governing Law
Governing-law and dispute terms will be identified in the applicable controlled-beta invitation or written service agreement. This section remains subject to the external legal review status shown above and does not override rights that cannot be waived under applicable law.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
